1. Introduction
1.1 “Gumbuli.com” is an online marketplace for Malawi, developed and created by Andrew Nkhoma. The platform consists of a website (www.gumbuli.com) and may include mobile applications, together with supporting IT, logistics, and payment infrastructure for the sale and purchase of consumer products and services (“products”).
1.2 These general terms and conditions apply to all buyers and sellers on Gumbuli.com and govern your use of the marketplace and related services.
1.3 By using Gumbuli.com, you accept these terms in full. If you do not agree, do not use the platform.
1.4 If you use Gumbuli.com on behalf of a business or organization, you:
- Confirm you have the authority to agree to these terms;
- Bind both yourself and the business or organization;
- Acknowledge that “you” refers to both the individual and the relevant entity unless context requires otherwise.
2. Registration and account
2.1 You must be at least 18 years old to register.
2.2 When registering, you must provide an email/user ID and password and agree to:
- Keep your password confidential;
- Notify Gumbuli immediately of any disclosure of your password;
- Be responsible for any activity resulting from failure to maintain password confidentiality.
2.3 Accounts are personal and cannot be transferred to third parties.
2.4 Gumbuli may suspend, cancel, or edit your account at its discretion. Refunds will be issued if products paid for but not received are affected, provided you have not breached these terms.
2.5 You may cancel your account by contacting Gumbuli support.
3. Terms and conditions of sale
3.1 The marketplace provides a platform for sellers to sell and buyers to purchase products. Unless Gumbuli.com is the seller, it is not a party to transactions.
3.2 Seller terms govern transactions but must include:
- Accurate product pricing, including taxes;
- Clearly stated delivery and ancillary charges;
- Delivery of digital products may be electronic;
- Products must be of satisfactory quality, safe, and match their description;
- Sellers must have legal ownership and rights to supply products;
- Disclosure of warranties, terms, and conditions in product listings.
4. Returns and refunds
4.1 Returns and refunds are managed according to Gumbuli’s Returns & Refunds policies.
4.2 Refunds may cover:
- Product price;
- Shipping fees;
- Store credits, vouchers, bank transfers, or other methods determined by Gumbuli.
4.3 Gumbuli handles refunds on behalf of sellers, except for digital products or perishable items, where refunds are only for delivery failures.
4.4 Changes to returns or refund policies take effect on the date of publication on Gumbuli.com.
5. Payments
Payments must follow the marketplace’s payment information and guidelines.
6. Store credit
Store credits are managed according to Gumbuli’s Store Credit Terms and Conditions. Gumbuli may withdraw credits in cases of suspected fraud or foul play.
7. Promotions
Promotions are governed by Gumbuli’s Promotions Terms and Conditions.
8. Rules about your content
8.1 “Your content” includes text, graphics, audio, video, scripts, files, and communications (e.g., reviews, feedback).
8.2 Content must be accurate, truthful, appropriate, legal, and comply with generally accepted online etiquette.
8.3 Content must not:
- Be offensive, obscene, violent, or discriminatory;
- Violate any intellectual property rights;
- Mislead, defraud, or harass others;
- Interfere with marketplace transactions.
8.4 Gumbuli may review and remove content at its discretion.
9. Our rights to use your content
9.1 You grant Gumbuli a worldwide, royalty-free, non-exclusive license to use, reproduce, publish, and distribute your content on the marketplace and marketing channels.
9.2 You waive moral rights to your content to the extent permitted by law.
9.3 Gumbuli may delete, edit, or unpublish your content if rules are breached.
10. Use of website and mobile applications
10.1 “Marketplace” and “website” refer to Gumbuli.com and any mobile applications.
10.2 Permitted use includes:
- Viewing, downloading for caching, and printing pages for personal use;
- Streaming audio/video;
- Using marketplace services.
10.3 Unauthorized activities include:
- Hacking, malware distribution, excessive resource use, automated data scraping, bypassing access controls, or any unlawful activity.
11. Copyright and trademarks
11.1 Gumbuli.com and its licensors own all intellectual property on the marketplace.
11.2 Gumbuli.com logos and trademarks are protected; third-party trademarks belong to their respective owners.
12. Data privacy
12.1 Buyers consent to data processing under Gumbuli’s Privacy Notice and Cookie Policy.
12.2 Sellers are responsible for their handling of buyer data.
13. Due diligence and audit rights
Gumbuli may conduct anti-fraud and compliance checks, requiring information, documents, or access to premises.
14. Gumbuli’s role as a marketplace
14.1 Gumbuli facilitates transactions but is not the seller unless explicitly stated.
14.2 Sellers are liable for the products they sell.
14.3 Marketplace operation may be affected by events beyond Gumbuli’s control.
14.4 Gumbuli may alter or discontinue services with prior notice for non-force majeure events.
15. Limitations and exclusions of liability
15.1 Liability is limited to the maximum extent permitted by law.
15.2 Gumbuli is not liable for:
- Business losses;
- Data loss;
- Interruptions beyond its control;
- Use of third-party websites.
16. Indemnification
Users agree to indemnify Gumbuli for losses or liabilities arising from breaches of these terms or improper tax handling.
17. Breaches
Gumbuli may suspend, block, or terminate accounts, IP access, or take legal action for breaches.
18. Entire agreement
These terms, policies, and seller agreements constitute the full agreement between you and Gumbuli.com.
19–26. Other provisions
- Hierarchy: Terms, seller policies, and codes prevail in order.
- Variation: Gumbuli may revise terms at any time; revisions apply from publication date.
- No waiver: Non-enforcement does not waive rights.
- Severability: Invalid provisions do not affect remaining terms.
- Assignment: Gumbuli may assign rights; users may not without consent.
- Third party rights: No third-party rights exist under these terms.
- Law and jurisdiction: Governed by the laws of Malawi; disputes subject to Malawian courts.
